These Terms and Conditions ("Terms") govern your access to and use of the ShareCentral website, application and related services (together, the "Service"), operated by ShareCentral ("ShareCentral", "we", "us" or "our"). Please read them carefully.

Acceptance of these terms

By accessing or using the Service, or by creating an account, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service. If you are using the Service on behalf of an entity, you confirm you have authority to bind that entity to these Terms.

Eligibility and your account

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate and complete information when registering, and to keep it up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@sharecentral.com if you suspect any unauthorised use.

The Service

ShareCentral provides portfolio tracking and research tools for investors, including consolidating holdings and transactions, calculating positions and returns, and presenting related information such as franking credits and dividends.

We may add, change, suspend or remove features at any time. We aim to keep the Service available, but we do not guarantee uninterrupted or error free operation, and the Service may be unavailable during maintenance or due to events beyond our control.

Not financial advice

ShareCentral provides research and information only. It is not financial advice. Nothing in the Service is a recommendation to buy, sell or hold any financial product, and nothing takes into account your objectives, financial situation or needs.

You should consider whether the information is appropriate for you and, before making any financial decision, obtain advice from a licensed financial adviser and consider any relevant product disclosure statement. Past performance is not an indicator of future performance.

Market data may be delayed by up to 20 minutes and may contain errors or omissions. Tax related figures, including franking credit calculations, are estimates provided for general information only and are not tax advice. Consult a registered tax agent about your circumstances.

You are solely responsible for your investment and tax decisions and for verifying any information before you rely on it.

Subscriptions, fees and billing

Paid plans are billed in advance on the billing cycle you select when you subscribe, and prices are shown on our pricing page.
Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
You authorise us and our payment provider to charge your nominated payment method for all applicable fees and taxes.
You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
Except where required by law, fees already paid are not refundable, including for partial periods.
We may change our prices on reasonable notice. Changes take effect from your next billing period.

Free trials

We may offer a free trial. Unless you cancel before the trial ends, your subscription will convert to a paid plan and your payment method will be charged at the then current price. Trial eligibility is at our discretion and we may withdraw or change trial offers at any time.

Acceptable use

You must not:

Use the Service for any unlawful purpose or in breach of any applicable law or regulation.
Access the Service by automated means, including scraping, crawling or bulk data extraction, except as we expressly permit.
Attempt to gain unauthorised access to the Service, other accounts, or any related systems or networks.
Interfere with, disrupt or place unreasonable load on the Service or its infrastructure.
Reverse engineer, decompile or attempt to derive source code from the Service, except to the extent this restriction cannot lawfully be excluded.
Resell, redistribute or make the Service available to third parties, or share your account credentials.
Upload malicious code, or content that infringes the rights of others.

Third party services and broker connections

The Service integrates with third party services, including brokers, email providers and market data providers. Where you connect a broker or forward trade confirmations, you confirm you are authorised to do so and that doing so does not breach your agreement with that provider.

We are not responsible for the accuracy, completeness or availability of data supplied by third parties, or for the acts or omissions of those providers. Your use of a third party service is governed by that provider's own terms.

Your content

You retain ownership of the portfolio data and other content you submit to the Service. You grant us a non exclusive, worldwide licence to host, store, process and display that content solely to provide and improve the Service, and as described in our Privacy Policy. You are responsible for the accuracy and legality of the content you submit.

Intellectual property

The Service, including its software, design, text, graphics and trade marks, is owned by ShareCentral or its licensors and is protected by intellectual property laws. Subject to these Terms, we grant you a limited, non exclusive, non transferable, revocable licence to use the Service for your own personal or internal business use. All rights not expressly granted are reserved.

Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", and we exclude all warranties, conditions and representations that are not expressly set out in these Terms, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non infringement.

We do not warrant that the Service will meet your requirements, that it will be uninterrupted, timely, secure or error free, or that any data, calculation or result obtained through it will be accurate or reliable.

Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded, restricted or modified. Where our liability for a failure to comply with a consumer guarantee can be limited, our liability is limited, at our option, to resupplying the relevant services or paying the cost of having them resupplied.

Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for any loss of profits, revenue, data, goodwill or investment loss, arising out of or in connection with your use of the Service, whether in contract, tort (including negligence) or otherwise.

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the 12 months immediately before the event giving rise to the liability.

Indemnity

You agree to indemnify and hold harmless ShareCentral and its officers, employees and contractors from any claim, loss, liability, cost or expense (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Service, or your breach of any law or third party right.

Suspension and termination

We may suspend or terminate your access to the Service, with or without notice, if you breach these Terms, if we reasonably suspect fraudulent or unlawful activity, if required by law, or if we discontinue the Service.

You may stop using the Service and close your account at any time. On termination, your right to use the Service ends immediately. Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability and indemnity, will survive.

Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Where changes are material, we will take reasonable steps to notify you before they take effect. Continued use of the Service after the changes take effect means you accept the revised Terms.

General

These Terms, together with the Privacy Policy, form the entire agreement between you and us in relation to the Service.
If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force.
Our failure to enforce any right or provision is not a waiver of that right or provision.
You may not assign or transfer these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.

Governing law

These Terms are governed by the laws of Australia. You and we submit to the non exclusive jurisdiction of the courts of Australia and of any courts that may hear appeals from those courts.
